Terms of Service
Terms and conditions governing access to and use of the TRIS platform and related services.

These Terms of Service (“Terms”) constitute a legally binding agreement between the subscribing institution (“Subscriber,” “you,” or “your”) and Tygtal Recruiting Intelligence Services, LLC (“TRIS,” “we,” “us,” or “our”) governing access to and use of the TRIS platform, website (tris.com), and related services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms.
1. Eligibility & Account Registration
1.1 Institutional Subscribers
TRIS subscriptions are available exclusively to college and university athletic departments, authorized athletic department staff, and other institutional entities approved by TRIS. Individual consumers, high school athletes, families, agents, boosters, NIL collectives, and media organizations are not eligible for subscriptions.
1.2 Account Creation
Each authorized staff member receives an individual account requiring a verified institutional email address. Accounts are non-transferable. The subscribing institution is responsible for designating a program administrator who controls user access, permissions, and account management. Sharing login credentials between staff members is prohibited.
1.3 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must immediately notify TRIS of any unauthorized access or use of your account. TRIS is not liable for any loss arising from unauthorized use of your account credentials.
2. Subscription Plans & Payment
2.1 Subscription Tiers
TRIS offers multiple subscription tiers with varying levels of access, data, and features. The specific features, seat limits, and pricing for each tier are described on our Pricing page and in the applicable order form or subscription agreement. TRIS reserves the right to modify subscription tiers and pricing with 60 days' notice to existing subscribers.
2.2 Payment Terms
Subscriptions are billed annually unless otherwise specified in your order form. Payment is due within 30 days of invoice date. All annual membership fees and evaluation credit purchases are non-refundable. No refunds, credits, or pro-rated amounts will be issued for partial-year cancellations, unused evaluation credits, or early termination. We accept payment via credit card (3.5% processing fee), ACH transfer, and wire transfer (no fee). Late payments may result in suspension of access after a 15-day grace period with written notice.
2.3 Evaluation Credits
Evaluation credits are non-refundable and non-transferable. Credits are valid for 12 months from the date of purchase and expire automatically. Unused credits are forfeited upon expiration or subscription termination. Credits may be purchased individually or in volume quantities with tiered pricing as described on our Pricing page. Volume pricing tiers are applied automatically based on the total number of credits purchased in a single transaction.
2.4 Taxes
All fees are exclusive of applicable taxes. The Subscriber is responsible for payment of all taxes (excluding taxes on TRIS's income). If the Subscriber is tax-exempt, they must provide a valid tax exemption certificate upon request.
3. Permitted Use
3.1 Authorized Use
TRIS grants the Subscriber a limited, non-exclusive, non-transferable, revocable license to access and use the Services for the Subscriber's internal recruiting evaluation and athletic department operations. Access is limited to the number of seats specified in the Subscriber's subscription plan.
3.2 Restrictions
You may not:
- Share, redistribute, publish, or make TRIS data, evaluations, scores, or reports available to any individual or entity outside your authorized institutional staff
- Share TRIS data with media outlets, recruiting aggregators, fan-facing websites, social media accounts, betting platforms, agents, or any non-institutional party
- Reproduce, copy, scrape, crawl, or systematically download TRIS data or content
- Use TRIS data for any commercial purpose other than your own institutional recruiting operations
- Reverse engineer, decompile, or attempt to extract the source code or algorithms of the TRIS platform
- Share TRIS prospect evaluations or scores directly with recruits, their families, high school coaches, or agents
- Use TRIS data to create a competing product or service
- Circumvent or attempt to circumvent any access controls, usage limits, or security measures
- Use the platform in any manner that violates applicable law, regulation, or NCAA bylaws
- Allow boosters, alumni, NIL collectives, or any non-institutional party to access the platform through your account
4. Intellectual Property
4.1 TRIS Ownership
TRIS retains all right, title, and interest in and to the Services, including all software, algorithms, scoring methodologies, evaluation rubrics, composite scoring models, data analytics, user interface design, trademarks, and all associated intellectual property. Your subscription grants a license to access and use the Services -- it does not transfer ownership of any TRIS intellectual property.
4.2 Evaluation Data
All prospect evaluations, TRIS Composite Scores, skill grades, analytics, projections, and reports generated by TRIS are the intellectual property of TRIS. Subscribers receive a license to view and use this data for internal recruiting purposes during the term of their subscription.
4.3 Subscriber Content
Program-specific data created by subscribers within the platform (watchlists, notes, custom tags, internal ratings) remains the property of the subscribing institution. TRIS does not claim ownership of subscriber-generated content and will delete it upon request or upon subscription cancellation per our data retention policies.
5. Disclaimers & Limitations
5.1 Evaluation Accuracy
TRIS evaluations represent point-in-time assessments by credentialed field agents using standardized rubrics. Evaluations are professional opinions based on publicly observable data. TRIS does not guarantee the accuracy of any evaluation, score, projection, scheme fit analysis, or recommendation. Subscribing programs are responsible for their own recruiting decisions and should use TRIS data as one input among many.
5.2 Self-Reported Data
Where prospect data is labeled “Self-Reported” or “Coach-Verified,” TRIS has not independently verified the accuracy of that information. Subscribing programs should independently verify critical data points before making recruiting decisions based on them.
5.3 No Recruiting Advice
TRIS provides data and analytics -- not recruiting advice, legal advice, or compliance guidance. We do not recommend specific recruiting actions, and our evaluations should not be interpreted as endorsements or recommendations to offer scholarships. Subscribers should consult their own compliance offices and institutional counsel regarding recruiting decisions.
5.4 Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TRIS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TRIS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, OR REPUTATIONAL HARM, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT TRIS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TRIS'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY THE SUBSCRIBER TO TRIS DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
7. Indemnification
The Subscriber agrees to indemnify, defend, and hold harmless TRIS and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) the Subscriber's use of the Services; (b) the Subscriber's violation of these Terms; (c) the Subscriber's violation of any applicable law or regulation, including NCAA bylaws; (d) the Subscriber's sharing of TRIS data with unauthorized parties; or (e) any recruiting decision made by the Subscriber based on TRIS data.
8. Term & Termination
8.1 Subscription Term
Subscriptions begin on the date specified in the order form and continue for the subscription period selected (typically 12 months). Subscriptions renew automatically for successive periods of the same duration unless either party provides written notice of non-renewal at least 30 days before the end of the current term.
8.2 Termination for Cause
Either party may terminate these Terms immediately upon written notice if the other party materially breaches these Terms and fails to cure such breach within 30 days of receiving written notice of the breach. TRIS may terminate or suspend access immediately without prior notice if the Subscriber violates Section 3.2 (Restrictions), shares TRIS data with unauthorized parties, or engages in activity that threatens the security or integrity of the platform.
8.3 Effect of Termination
Upon termination or expiration: (a) the Subscriber's access to the Services will be deactivated; (b) all licenses granted under these Terms will immediately terminate; (c) the Subscriber must cease all use of TRIS data, including any downloaded or cached data; (d) program-specific data (watchlists, notes, tags) will be deleted within 90 days per our data retention policy. Sections 4, 5, 6, 7, 9, 10, 11, and 12 survive termination.
9. Confidentiality
Each party agrees to maintain the confidentiality of the other party's confidential information disclosed in connection with these Terms. Confidential information includes, but is not limited to: TRIS's proprietary scoring methodologies, algorithms, and rubrics; the Subscriber's internal recruiting strategies and watchlists; pricing terms; and any information marked as “confidential” or that a reasonable person would understand to be confidential. This obligation survives termination of these Terms for a period of three (3) years.
10. Governing Law & Dispute Resolution
10.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
10.2 Dispute Resolution
Any dispute arising out of or related to these Terms or the Services shall first be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, it shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware. The arbitrator's decision shall be final and binding.
10.3 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual institutional basis and not in a class, consolidated, or representative action.
11. General Provisions
11.1 Entire Agreement
These Terms, together with the applicable order form, Privacy Policy, and Data Governance Policy, constitute the entire agreement between the parties and supersede all prior agreements, understandings, and negotiations.
11.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
11.3 Waiver
The failure of either party to enforce any provision of these Terms shall not constitute a waiver of that party's right to enforce that provision or any other provision.
11.4 Assignment
The Subscriber may not assign or transfer these Terms or any rights or obligations hereunder without TRIS's prior written consent. TRIS may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.
11.5 Force Majeure
Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, government actions, power failures, internet or telecommunications failures, or cyberattacks.
11.6 Notices
All notices under these Terms shall be in writing and sent to the email address associated with the Subscriber's account (for notices to the Subscriber) or to legal@trissystems.com (for notices to TRIS). Notices are deemed received when sent to the designated email address.
12. Modifications to Terms
TRIS reserves the right to modify these Terms at any time. Material changes will be communicated to active subscribers via email at least 30 days before taking effect. The “Last updated” date at the top of this page indicates when the Terms were most recently revised. Continued use of the Services after the effective date of changes constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use of the Services before the changes take effect.
